FlexBase (Pty) Ltd – FinDR Online Platforms

These Terms and Conditions govern access to and use of the FinDR Online Platforms ("the Platform"), owned and operated by FlexBase (Pty) Ltd ("the Service Facilitator", "we", "us", or "our").

By accessing or using the Platform, you agree to be bound by these Terms.

1. RECITALS

1.1 The Platform is an online software-as-a-service system that facilitates introductions, scheduling, communication and related administrative processes between healthcare practices and independent personnel.

1.2 These Terms apply to all users, including Practices, Personnel and visitors.

1.3 The Service Facilitator may update these Terms from time to time. Updated versions will be published on the Platform.

1.4 Continued use of the Platform constitutes acceptance of the updated Terms.

2. DEFINITIONS

For purposes of these Terms:

Platform means the FinDR Online Platforms and any associated applications or systems.

Practice means any healthcare facility, business or organisation registered on the Platform.

Personnel means any independent professional or contractor registered on the Platform.

Services means services provided by Personnel to Practices.

Facilitation Fee means any fee charged by FlexBase (Pty) Ltd for use of the Platform or facilitation of engagements.

3. THE PLATFORM SERVICES

3.1 The Platform enables:

  • Profile creation
  • Availability management
  • Booking and scheduling
  • Communication and administration
  • Payment facilitation where applicable

3.2 The Service Facilitator provides software and facilitation services only and does not provide medical services.

4. RELATIONSHIP BETWEEN THE PARTIES

4.1 Nature of the Platform

The Service Facilitator provides an online technology platform and does not act as an employer, labour broker, recruitment agency, or healthcare provider.

4.2 Verification and Quality of Services

The Service Facilitator takes reasonable steps to verify identity, professional registration, and legal eligibility to practise of Personnel and may verify certain information provided by Practices.

However, the Service Facilitator:

  • does not supervise or control services delivered by Personnel or Practices
  • does not guarantee quality, safety, or outcomes of services
  • is not responsible for professional conduct or performance

Users are responsible for conducting their own due diligence before entering engagements.

4.3 Independent Contractor Status

Personnel providing services through the Platform do so as independent contractors.

Nothing in these Terms shall be interpreted as creating:

  • an employment relationship
  • a partnership
  • a joint venture
  • an agency relationship

Practices are solely responsible for determining suitability, supervision and compliance relating to Personnel engaged.

Personnel are solely responsible for:

  • tax obligations
  • statutory compliance
  • professional registration
  • insurance and licensing

The Service Facilitator bears no responsibility for payroll, benefits, employment obligations, or labour law compliance between Practices and Personnel.

5. PAYMENT AND FEES

5.1 Practices and/or Personnel may be required to pay license or facilitation fees as specified on the Platform.

5.2 Fees are generally non-refundable unless required by law.

5.3 Personnel remain responsible for their own tax obligations.

6. NON-CIRCUMVENTION

6.1 Users agree not to bypass the Platform to avoid fees or processes.

6.2 Where a Practice and Personnel first connect through the Platform, any engagement within 12 months will be deemed to have arisen through the Platform.

6.3 If circumvention occurs, the Service Facilitator may:

  • invoice applicable fees
  • recover reasonable enforcement costs

7. USER ACCOUNTS

7.1 Users must:

  • provide accurate information
  • keep login credentials secure
  • maintain updated account details

7.2 The Service Facilitator may suspend accounts for misuse or breach.

8. PLATFORM AVAILABILITY

The Service Facilitator strives to maintain reliable access but does not guarantee uninterrupted availability. Maintenance, technical issues or events beyond control may cause interruptions.

9. SECURITY

Users may not:

  • attempt unauthorised access
  • introduce malicious code
  • disrupt system integrity

Violations may result in termination and legal action.

10. INTELLECTUAL PROPERTY

All software, content, branding, and systems remain the property of FlexBase (Pty) Ltd or its licensors.

Users may not copy, reproduce, or distribute materials without written consent.

11. LIMITATION OF LIABILITY

To the fullest extent permitted by law:

The Service Facilitator shall not be liable for:

  • indirect or consequential losses
  • loss of profits or revenue
  • service interruptions beyond reasonable control

Liability, where applicable, is limited to the amount paid for Platform services.

12. DATA PROTECTION

FlexBase processes personal information in accordance with:

  • Protection of Personal Information Act (POPIA)
  • GDPR where applicable

Users agree to process any personal information obtained via the Platform lawfully and responsibly.

13. CONFIDENTIALITY

Users agree to keep confidential any non-public information obtained through the Platform.

14. THIRD-PARTY SERVICES

The Platform may include links or integrations with third-party providers. FlexBase is not responsible for their services or policies.

15. BREACH AND TERMINATION

The Service Facilitator may suspend or terminate accounts where users:

  • breach these Terms
  • misuse the Platform
  • engage in unlawful activity

16. FORCE MAJEURE

Neither party shall be liable for failure or delay caused by events beyond reasonable control including:

  • power outages
  • internet failures
  • natural disasters
  • cyber incidents
  • government actions

17. DISPUTE RESOLUTION

Parties agree to attempt resolution by negotiation before pursuing legal remedies.

These Terms are governed by the laws of the Republic of South Africa.

SPECIFIC SERVICE TERMS AND CONDITIONS

Applicable Upon Registration and Use of the FinDR Online Platforms as Personnel or Practice

These Specific Terms must be read together with the General Terms and Conditions, which form part of this agreement.

1. RECITALS

1.1 This document sets out the Specific Terms and Conditions governing the use of the FinDR Online Platforms, owned and operated by FlexBase (Pty) Ltd, pertaining to the access and use of the information, products, services and functions provided on the Platform by Personnel users and Practice users.

1.2 By using or accessing the Platform, you confirm that you have read, understood and agreed to be bound by the General Terms and Conditions, which are incorporated into these Terms by reference.

1.3 The Service Facilitator may terminate these Terms or any of its services with respect to you, or deny access to its services, at any time, for lawful reasons. Users will be notified where such action affects a registered profile.

2. RELATIONSHIP BETWEEN THE PARTIES

2.1 The Service Facilitator provides online software services only and does not provide locum positions, employment, labour brokering, or recruitment services.

All engagements facilitated through the Platform are entered into directly between independent Personnel and Practices, who are not employed by the Service Facilitator.

2.2 Users make use of the Platform at their own discretion and risk.

FlexBase (Pty) Ltd verifies professional registration and legal eligibility to practise through reasonable means, but does not guarantee the quality, suitability, or outcome of services provided by any Personnel or Practice.

Users remain responsible for conducting their own due diligence before entering engagements.

3. INTERACTION BETWEEN SERVICE FACILITATOR, PERSONNEL AND PRACTICE

3.1 Practices register on the Platform by submitting required information to create a profile and gain access to platform functionality.

3.2 Practices may update their profiles after registration. The Service Facilitator reserves the right to verify, correct, or request correction of profile information where necessary.

3.3 Personnel register by submitting required information to create a professional profile visible to Practices.

3.4 The Service Facilitator may verify submitted information relating to qualifications, professional registration, experience, and identity through reasonable means.

3.5 Profiles may be approved once required information has been submitted and verified.

4. OBLIGATIONS OF THE SERVICE FACILITATOR

The Service Facilitator shall:

  • Use reasonable efforts to maintain the functioning of the Platform.
  • Use reasonable means to verify qualifications, professional registration and identity of users where applicable.
  • Facilitate visibility of Personnel and Practices through approved profiles, search functionality, and booking tools.
  • Where applicable, generate or facilitate invoices reflecting:
    • Personnel service fees
    • Facilitation fees
  • Notify users of changes to banking details via electronic communication.
  • Not facilitate bookings where required professional registration cannot be reasonably verified.
  • Provide transaction history to users upon reasonable request.

5. OBLIGATIONS OF PRACTICES

Practices agree to:

  • Provide accurate and complete registration information.
  • Update profile information where changes occur.
  • Provide additional verification information when reasonably requested.
  • Pay all facilitation fees and invoices by the due dates stated.
  • Pay Personnel invoices directly in accordance with agreed terms.
  • Communicate cancellations promptly and honour any agreements made directly with Personnel.
  • Maintain adequate professional indemnity insurance covering services rendered by independent Personnel.
  • Ensure compliance with tax and regulatory obligations.
  • Participate in reasonable post-engagement reviews where applicable.
  • Conduct themselves in accordance with the applicable Code of Conduct.

6. EXTENDED OR PERMANENT ENGAGEMENTS

6.1 If a Practice extends ongoing work to a Personnel user introduced through the Platform, facilitation fees may apply in accordance with the pricing structure communicated by the Service Facilitator.

6.2 If a Practice offers permanent employment to a Personnel user introduced through the Platform, a placement fee equal to 12.5% of the annual cost-to-company shall apply unless otherwise agreed in writing.

7. OBLIGATIONS OF PERSONNEL

Personnel agree to:

  • Provide accurate and complete registration information.
  • Update profile information where changes occur.
  • Provide additional verification information when reasonably requested.
  • Perform agreed services diligently and professionally during booking periods.
  • Issue invoices directly to Practices for services rendered.
  • Maintain adequate professional indemnity insurance during active engagements.
  • Comply with applicable laws, professional regulations, and the Code of Conduct.
  • Participate in reasonable post-engagement reviews where applicable.
  • Understand that cancellations may be recorded and reflected in platform ratings or records.

8. PAYMENTS BETWEEN PERSONNEL AND PRACTICES

8.1 Booking dates and hourly rates are agreed between Personnel and Practices.

8.2 Personnel invoice Practices directly as independent contractors.

8.3 Personnel remain responsible for ensuring correct banking details and invoicing.

8.4 The Service Facilitator does not guarantee or assume responsibility for payments made directly between Practices and Personnel.

9. PERMANENT PLACEMENTS

9.1 Where the Service Facilitator is engaged to assist in sourcing candidates, a sourcing fee or pre-payment may apply as communicated at the time of engagement.

9.2 Placement fees are calculated as 12.5% of the annual cost-to-company, unless otherwise agreed in writing.

9.3 The Service Facilitator makes reasonable efforts to assess candidate suitability but does not guarantee employment outcomes or performance.

9.4 If employment is terminated shortly after commencement, replacement or credit terms may apply in accordance with written placement agreements.

9.5 Candidate introductions are confidential and may not be shared with third parties without consent.

9.6 Practices remain responsible for employment contracts, payroll, and statutory compliance.

LOCUM & PRACTICE CODE OF CONDUCT

FlexBase (Pty) Ltd – FinDR Online Platforms

Healthcare professionals and healthcare service providers carry a significant responsibility to provide safe, respectful, and competent care at all times. Patients place their health, wellbeing, and often their lives in the hands of practitioners and healthcare teams. This Code of Conduct exists to support a professional, respectful, and safe working environment for patients, Personnel, and Practices.

By registering on or using the FinDR Online Platforms, you agree to adhere to this Code of Conduct.

1. PROFESSIONAL AND ETHICAL STANDARDS

All Personnel and Practices agree that they are familiar with and will comply with the ethical and professional standards applicable to their profession, including where applicable:

  • The Health Professions Act 56 of 1974
  • The HPCSA Guidelines for Good Practice in the Health Care Professions
  • The South African Pharmacy Council Code of Conduct
  • The Code of Ethics for Nursing Practitioners in South Africa (SANC)
  • Any other applicable professional or regulatory requirements

Users must ensure that their registration and authority to practise remain valid at all times.

2. EXPECTATIONS OF PERSONNEL (LOCUMS)

Personnel agree to:

  • Arrive on time and present themselves in professional attire appropriate to the practice environment.
  • Work collaboratively as a member of the healthcare team and maintain continuity of care for patients.
  • Follow the clinical and administrative procedures and protocols of the Practice, provided these are lawful and professionally appropriate.
  • Seek guidance from Practice staff where necessary, including guidance relating to local procedures and cultural considerations.
  • Use Practice systems, computers, telephones, and equipment responsibly and in accordance with applicable legislation and Practice policies.
  • Maintain strict confidentiality of patient information, Practice information, and staff information at all times.
  • Treat all patients, visitors, and healthcare team members with professionalism, respect, honesty, and consideration.
  • Not consume alcohol or be under the influence of intoxicating or illegal substances while on duty or arriving for duty.
  • Take reasonable care when using Practice equipment and report any accidental damage promptly.
  • Perform agreed services diligently and to the best of their professional ability.

3. EXPECTATIONS OF PRACTICES

Practices and their staff agree to:

  • Ensure that a responsible staff member or contact person is available to receive and orientate Personnel on arrival.
  • Treat Personnel as members of the healthcare team for the duration of their engagement.
  • Provide reasonable orientation to clinical procedures, administrative systems, and Practice workflows.
  • Provide appropriate support and information necessary for Personnel to perform their duties effectively.
  • Ensure that equipment required for patient care is in working order, or inform Personnel of any limitations and provide guidance on alternative procedures where necessary.
  • Communicate clearly regarding any special instructions, operational requirements, or patient care procedures.
  • Process and settle valid invoices in accordance with agreed payment terms.
  • Treat Personnel with professionalism, fairness, and respect at all times.

4. PROFESSIONAL CONDUCT AND BEHAVIOUR

All users of the Platform agree to:

  • Conduct themselves professionally and respectfully in all interactions.
  • Avoid harassment, discrimination, intimidation, or abusive behaviour.
  • Comply with all applicable laws, regulations, and professional obligations.
  • Act in the best interests of patient safety and care at all times.

5. BREACH OF THE CODE OF CONDUCT

Failure to adhere to this Code of Conduct may result in:

  • Warnings or corrective action
  • Suspension of access to the Platform
  • Removal of a user profile
  • Reporting to relevant regulatory authorities where required

FlexBase (Pty) Ltd reserves the right to investigate complaints and take reasonable action to maintain the integrity and safety of the Platform community.

6. ACCEPTANCE

By accepting the Terms and Conditions and using the FinDR Online Platforms, you acknowledge and accept this Code of Conduct.

These Competition Terms and Conditions apply to all competitions, giveaways, and promotional campaigns conducted by FlexBase (Pty) Ltd ("the Promoter") unless otherwise stated in writing.

1. ELIGIBILITY

1.1 Competitions are open to individuals who are:

  • 18 years or older; and
  • Residents of South Africa, unless otherwise specified.

1.2 Employees, directors, contractors, or immediate family members of the Promoter may be excluded from specific competitions where stated.

2. COMPETITION PERIOD

2.1 Each competition will run for the period specified in the competition announcement.

2.2 Entries received after the closing date will not be considered.

3. ENTRY REQUIREMENTS

3.1 Participants must follow the entry instructions stated in the competition announcement.

3.2 Entries must be genuine and may not be submitted using automated or fraudulent methods.

3.3 The Promoter reserves the right to disqualify any participant who:

  • breaches these Terms
  • provides false information
  • attempts to manipulate the competition

4. PRIZES

4.1 Prizes are as described in the competition announcement and are not transferable or redeemable for cash unless expressly stated.

4.2 The Promoter reserves the right to substitute a prize with another of similar value if necessary.

5. WINNER SELECTION AND NOTIFICATION

5.1 Winners will be selected in the manner described in the competition announcement (for example, random draw or judging panel).

5.2 Winners will be contacted using the contact details provided during entry.

5.3 If a winner cannot be contacted within a reasonable period (typically 5–7 days), the Promoter reserves the right to select an alternative winner.

6. PUBLICITY

6.1 By entering a competition, participants agree that the Promoter may:

  • announce the winner's name
  • publish photographs or content relating to the prize

where reasonably necessary for promotional purposes.

6.2 Personal information will be handled in accordance with the FlexBase Privacy Policy.

7. LIABILITY

7.1 The Promoter is not responsible for:

  • technical failures
  • lost or delayed entries
  • circumstances beyond reasonable control

7.2 To the extent permitted by law, the Promoter shall not be liable for any loss or damage arising from participation in the competition or acceptance of a prize.

8. GENERAL

8.1 The Promoter reserves the right to:

  • cancel or amend a competition if necessary
  • amend these Terms where required for operational or legal reasons

8.2 Participation in a competition constitutes acceptance of these Terms and Conditions.

8.3 These Terms are governed by the laws of the Republic of South Africa.
